Vintegrate Winery Software – Terms of Use

These Terms of Use are provided for Vintegrate Winery Software, a Microsoft Dynamics 365 Business Central Add-On Software offered by KLH Consulting, Inc.

1. Introduction

These Terms of Use (“Terms”) govern your use of the Vintegrate Winery Software Add-On (“Software”), which is owned and operated by KLH Consulting, Inc. (“KLH Consulting,” “we,” “us,” or “our”). Vintegrate Winery Software is an Add-On software product designed to enhance and integrate with the Microsoft Dynamics 365 Business Central platform. By accessing, installing, or using the Software, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Software.

2. Acceptance of Terms

Your use of the Software constitutes your acceptance of these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or do not agree with these Terms, you must not use the Software.

3. License Grant

Subject to your compliance with these Terms and payment of all applicable fees, KLH Consulting, Inc. grants you a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and use the Software solely for your internal business purposes in accordance with the documentation and as intended to be integrated with Microsoft Dynamics 365 Business Central.

4. Restrictions

You agree not to:

Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Software.
Modify, translate, or create derivative works based on the Software.
Use the Software for timesharing or service bureau purposes or otherwise for the benefit of a third party.
Remove or alter any proprietary notices or labels on the Software.
Resell, sublicense, lease, rent, or otherwise distribute the Software to any third party without KLH Consulting, Inc.’s prior written consent.
Use the Software in any manner that infringes or violates the intellectual property rights or any other rights of any person or entity.

5. Ownership and Intellectual Property

The Software and all worldwide copyrights, trade secrets, and other intellectual property rights therein are the exclusive property of KLH Consulting, Inc. and its licensors. All rights not expressly granted to you in these Terms are reserved by KLH Consulting, Inc. This agreement does not grant you any ownership interest in the Software.

6. Integration with Microsoft Dynamics 365 Business Central

Vintegrate is designed to operate in conjunction with the Microsoft Dynamics 365 Business Central platform. Your use of Microsoft products and services is governed by separate agreements between you and Microsoft. KLH Consulting, Inc. is not responsible for Microsoft’s products or services, and your use of Vintegrate Winery Software does not grant you any rights in Microsoft Dynamics 365 Business Central or any associated Microsoft intellectual property.

7. User Data and Privacy

KLH Consulting, Inc. may collect and process certain data related to your use of the Software. Our handling of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Software, you consent to such collection and processing as described in the Privacy Policy.

8. Updates and Support

KLH Consulting, Inc. may, in its sole discretion, provide updates, enhancements, or modifications to the Software. Unless otherwise agreed, KLH Consulting, Inc. is not obligated to provide any maintenance or support services under these Terms.

9. Fees and Payment

Use of the Software may require payment of applicable subscription or license fees as set forth in a separate agreement between you and KLH Consulting, Inc. Failure to pay such fees in a timely manner may result in suspension or termination of your right to access and use the Software.

10. Term and Termination

These Terms will remain in effect until terminated by either party. You may terminate these Terms at any time by ceasing all use of the Software and uninstalling or deleting all copies. KLH Consulting, Inc. may terminate these Terms immediately upon written notice if you breach any provision of these Terms. Upon termination, you must stop using the Software and destroy all copies in your possession.

11. Disclaimer of Warranties

The Software is provided “as is” and “as available.” To the maximum extent permitted by applicable law, KLH Consulting, Inc. disclaims all warranties, express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or arising from a course of dealing or usage of trade. KLH Consulting, inc. does not warrant that the Software will be error-free, uninterrupted, secure, or that any defects will be corrected.

12. Limitation of Liability

To the fullest extent permitted by law, KLH Consulting, Inc. shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, data, or business interruption, arising out of or related to your use or inability to use the Software, even if KLH Consulting, Inc. has been advised of the possibility of such damages. In no event shall KLH Consulting, Inc.’s total liability to you for all claims exceed the amount paid by you to KLH Consulting, Inc. for the Software in the two (2) months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless KLH Consulting, Inc., its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Software, your violation of these Terms, or your violation of any applicable law or the rights of a third party.

14. Export Compliance

The Software may be subject to U.S. export control laws and regulations. You agree not to directly or indirectly export, re-export, or release the Software to, or make the Software accessible from any jurisdiction or country to which export, re-export, or release is prohibited by law.

15. Modifications to Terms

KLH Consulting, Inc. reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website or within the Software. Your continued use of the Software following the posting of revised Terms means that you accept and agree to the changes.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Software shall be subject to the exclusive jurisdiction of the courts located in Sonoma County, California.

17. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and KLH Consulting, Inc. relating to the Software and supersede any prior or contemporaneous agreements regarding the subject matter herein.
Severability: If any provision of these Terms is found unenforceable or invalid, the remaining provisions will remain in full force and effect.
Waiver: Failure by KLH Consulting, Inc. to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without KLH Consulting, Inc.’s prior written consent. KLH Consulting, Inc. may assign these Terms at its sole discretion.
